1. Acceptance of Terms
By accessing and using Orvilo ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Description of Service
Orvilo is a Software-as-a-Service (SaaS) platform designed for independent professionals and teams to manage their business operations, including but not limited to:
- Client and contact management
- Projects linked to clients
- AI-powered proposal generation
- Contracts with electronic signing (see Section 2.1)
- Invoice creation and management with VAT support, including recurring billing
- Time tracking per client and project, with conversion to invoice line items
- Payment processing integration (Stripe Connect)
- Notes with rich text and optional client linking
- Task and project management with Kanban boards and file attachments
- Client portal (invite clients to view their projects, tasks, invoices, and contracts)
- Business analytics and reporting
- Workspaces (Pro and Agency plans may have multiple workspaces for data organization)
2.1 Electronic Signatures
Orvilo provides electronic signing for contracts. Our electronic signatures are "simple" electronic signatures as defined under EU Regulation (eIDAS) Article 3: electronic data attached to or logically associated with a document, used by the signatory to sign. They are suitable for many business contracts (e.g. NDAs, SOWs, service agreements). However, only qualified electronic signatures have the equivalent legal effect of handwritten signatures in all contexts across the EU. For high-stakes or legally sensitive documents, you may wish to use a qualified e-signature provider. By using our signing feature, you acknowledge the nature and legal effect of simple electronic signatures in your jurisdiction.
3. User Accounts
To use the Service, you must:
- Create an account by providing accurate and complete information
- Maintain the security of your account credentials
- Be responsible for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
4. Subscription and Payment
Orvilo offers subscription plans (Starter, Pro, Agency) with different features, limits, and pricing. By subscribing to a plan, you agree to:
- Pay the subscription fees as specified in your chosen plan
- Automatic renewal of your subscription unless cancelled
- All fees are non-refundable except as required by law
- We reserve the right to change our pricing with 30 days notice
- Plan-specific features (e.g., Stripe Connect, multiple workspaces, AI token limits) are subject to the plan you select
5. Free Trial
We may offer a free trial period. At the end of the trial period, you will be automatically charged for the selected subscription plan unless you cancel before the trial ends.
6. User Content and Data
You retain all rights to your data and content uploaded to Orvilo. By using the Service, you grant us a license to:
- Store, process, and display your content as necessary to provide the Service
- Use aggregated, anonymized data for service improvement and analytics
You are solely responsible for the content you upload and ensure it does not violate any laws or third-party rights.
Public share links: Proposals and invoices can be shared via public links. Recipients (including non-Orvilo users) may view them. You are responsible for who you share links with and for the content shared. View data (e.g., device type, whether forwarded) may be collected for analytics.
Contract signing links: Contracts are signed via secure, token-based links sent to the signer's email. Signers (including non-Orvilo users) may sign without creating an account. We record signature data, signer name, email, timestamp, and IP address for audit and legal purposes. You are responsible for ensuring the correct recipient receives each signing link.
Client portal: You may invite clients to a client portal where they can access their projects, tasks, invoices, and contracts. You control which clients are invited and what data they can access. Client portal users are responsible for keeping their access credentials secure.
File attachments: Tasks and comments support file attachments. You are responsible for uploaded files. File types and sizes are subject to limits. Do not upload malicious, illegal, or infringing content.
7. Prohibited Uses
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights
- Transmit any malicious code, viruses, or harmful data
- Attempt to gain unauthorized access to the Service or other users' accounts
- Use the Service for any illegal or unauthorized purpose
- Interfere with or disrupt the Service or servers
8. AI-Generated Content
Orvilo uses artificial intelligence (e.g., OpenAI) to generate proposals and other content. You acknowledge that:
- AI-generated content is provided "as is" and may require review and editing
- You are responsible for verifying the accuracy and appropriateness of AI-generated content
- We do not guarantee the accuracy, completeness, or suitability of AI-generated content
- You may optionally provide your own OpenAI API key for AI features; such keys are encrypted at rest. You are responsible for your key's use and compliance with OpenAI's terms
9. Payment Processing and Stripe Connect
Orvilo uses Stripe Connect to facilitate invoice payments. When you connect your Stripe account (Pro and Agency plans), payments from your clients go directly to your Stripe account—Orvilo does not hold, process, or receive these funds. You acknowledge that:
- You are the merchant of record for your own invoice payments
- You are solely responsible for your connected Stripe account, including chargebacks, refunds, disputes, tax compliance, and fees
- You must comply with Stripe's Connected Account Agreement and Stripe's terms of service
- Orvilo facilitates the connection only; we are not responsible for payment processing errors, disputes, or funds
- Subscription fees for Orvilo plans are processed separately by Stripe and are subject to Stripe's terms
10. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance
- System updates
- Unforeseen technical issues
- Force majeure events
11. Data Backup and Loss
While we implement reasonable data backup procedures, you are responsible for maintaining your own backups of important data. We are not liable for any data loss.
12. Termination
Either party may terminate this agreement at any time:
- You may cancel your subscription at any time through your account settings
- We may suspend or terminate your account for violation of these terms
- Upon termination, your access to the Service will cease
- We may delete your data after a reasonable retention period following termination
13. Intellectual Property
The Service, including its design, features, and functionality, is owned by Orvilo and protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer or attempt to extract source code
- Remove any proprietary notices or labels
14. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount you paid in the 12 months preceding the claim
15. Indemnification
You agree to indemnify and hold harmless Orvilo, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these terms.
16. Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new terms.
17. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Norway, without regard to its conflict of law provisions.
